Terms of Service

1. Acceptance of Terms

By accessing or using the Mantis trading intelligence platform (the "Service"), operated by Mantis Strategies B.V. ("Mantis", "we", "us", "our"), a company registered in the Netherlands, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service.

These Terms constitute a legally binding agreement between you and Mantis Strategies B.V.

2. Description of Service

Mantis provides a trading intelligence platform that includes:

  • Market data visualization and real-time quotes
  • ML-powered price predictions and directional signals
  • Portfolio analytics and risk management tools
  • Stock screeners and opportunity scanners
  • Institutional ownership tracker
  • Trade journaling with P&L tracking and exit ledger
  • Broker history import (CSV-based; Essential tier and above)
  • Macro regime indicator
  • Correlation analysis tools
  • Position sizing calculators (Stock, CFD, Crypto, Futures, Options)
  • News sentiment analysis
  • Thesis tracking and management

The Service is available via a web dashboard and mobile application (iOS and Android).

3. Account Registration

3.1 Eligibility

You must be at least 18 years of age to use the Service. By registering, you represent and warrant that you meet this age requirement. We verify your date of birth during registration.

3.2 Account Creation

You may create an account using:

  • Email and password: You must provide your first name, last name, date of birth, email address, and a strong password
  • Google Sign-In: You may authenticate using your Google account. If you register via Google Sign-In without providing your date of birth during registration, you will be required to provide it before accessing the Service

3.3 Account Responsibilities

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must not share your account with others or maintain more than one account
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately at security@mantisstrat.com if you suspect unauthorized access

4. Subscription and Billing

4.1 Subscription Tiers

Mantis offers three subscription tiers:

4.2 Billing

  • Paid subscriptions are billed monthly through Stripe, Inc.
  • Prices are displayed in USD or EUR based on your locale
  • Applicable taxes (including US sales tax and EU VAT) are calculated and collected automatically at checkout via Stripe Tax
  • By subscribing, you authorize us to charge your payment method on a recurring monthly basis

4.3 Trials

We may offer free trial periods for paid tiers. At the end of a trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.4 Cancellation and Refunds

  • You may cancel your subscription at any time through the Stripe Customer Portal (accessible from Settings)
  • Cancellation takes effect at the end of the current billing period — you retain access until then
  • No prorated refunds are provided for partial billing periods
  • Refund requests for exceptional circumstances are handled on a case-by-case basis at our sole discretion

4.5 Price Changes

We reserve the right to change subscription prices. We will notify you at least 30 days before any price increase. Continued use after the effective date constitutes acceptance of the new price.

5. Acceptable Use

5.1 Permitted Use

You may use the Service for your personal, non-commercial trading research and analysis purposes, or for internal business use within a single organization if you hold an organizational subscription.

5.2 Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems and infrastructure
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Use automated tools (bots, scrapers, crawlers) to extract data from the Service
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Share your account credentials with third parties
  • Resell, redistribute, sublicense, or provide access to the Service to third parties
  • Circumvent, disable, or interfere with security-related features of the Service
  • Use the Service to provide investment advisory services to others without proper registration
  • Upload malicious code, viruses, or other harmful content
  • Impersonate another person or entity

5.3 Rate Limits and Fair Use

We may impose rate limits on API requests and feature usage to ensure fair access for all users. Excessive automated usage may result in temporary or permanent account restrictions.

6. Investment Disclaimer

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY.

THE SERVICE IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. NOTHING PROVIDED BY MANTIS — INCLUDING SIGNAL SCORECARDS, TRADING SIGNALS, MACRO REGIME INDICATORS, SCREENER RESULTS, SENTIMENT ANALYSIS, RISK METRICS, POSITION SIZE CALCULATIONS, OPTIONS FLOW DIGESTS, OR ANY OTHER DATA, ANALYSIS, OR FEATURE — CONSTITUTES INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, OR ANY OTHER SORT OF ADVICE.

Mantis Strategies B.V. is NOT:

  • A registered investment adviser in any jurisdiction
  • A broker-dealer or securities intermediary
  • A financial institution or bank
  • Licensed to provide personalized investment recommendations

You acknowledge and agree that:

  • All trading and investment decisions are made solely by you, at your own risk
  • Signal Scorecards are rules-based aggregations of historical technical indicators, not predictions — past behavior of any indicator does not guarantee future behavior
  • Past performance of any model, indicator, signal, or strategy does not guarantee future results
  • Financial markets involve substantial risk of loss, including the possibility of losing your entire investment
  • CFDs, futures, and options are complex instruments with high risk of rapid loss due to leverage
  • You should consult with a qualified, licensed financial professional before making any investment decisions
  • You should not make investment decisions based solely on information provided by the Service

7. Intellectual Property

7.1 Our Property

The Service, including its design, source code, algorithms, signal-generation logic, compiled applications, content, and branding (including the Mantis name, logo, and "Kalahari Dusk" design system), are the intellectual property of Mantis Strategies B.V. and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its intellectual property without our express written permission.

7.2 Your Content

Your trade data, theses, notes, watchlists, labels, and other user-generated content remain your property. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your content solely as necessary to provide and improve the Service. This license terminates when you delete your account.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a royalty-free, worldwide, perpetual license to use such feedback for any purpose without obligation to you.

8. Third-Party Services and Data

8.1 Data Providers

The Service integrates with categories of third-party providers:

  • Market and reference data: institutional-grade providers for quotes, fundamentals, options chain, ETF data, macroeconomic indicators, institutional ownership, and identifier resolution
  • LLM-backed features: AI providers for transcript summarisation and strategy analysis
  • Payments: Stripe, Inc.
  • Authentication: Google Sign-In (optional)

8.2 Third-Party Terms

Your use of the Service may also be subject to the terms and conditions of third-party providers. We are not responsible for the availability, accuracy, policies, or content of third-party services. Market data may be delayed by 15 minutes or more unless otherwise indicated.

8.3 Data Accuracy

We do not guarantee the accuracy, completeness, timeliness, or availability of any data provided through the Service, including but not limited to market prices, financial statements, institutional holdings, or macroeconomic indicators. Data may contain errors, omissions, or inaccuracies. You should independently verify any data before making financial decisions.

8.4 Broker History Import

The CSV import feature (Essential tier and above) ingests trade history that you provide to us via a CSV file exported from a third-party broker. By uploading such a CSV, you represent and warrant that you have the right to share the contained data with us. The Service parses the file on our infrastructure, presents you with a preview, and only persists records once you confirm the import. Parsing of CSV contents takes place entirely within our own infrastructure in the European Union; the CSV's raw bytes are not transmitted to any third-party service, including any large-language-model vendor. We do not represent or warrant that imported data is accurate, complete, or up-to-date; the source of that data is the third-party broker that produced the export. You remain solely responsible for verifying that imported records reflect your actual trading activity and for resolving any discrepancies. We make no commitment to support any specific broker's CSV format on an ongoing basis; brokers can and do change their export formats without notice.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information. The Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

10.1 MANTIS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or anticipated savings
  • Loss of data or goodwill
  • Trading losses or investment losses
  • Cost of procurement of substitute services
  • Any damages arising from your reliance on the Service for investment decisions

10.2 IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO MANTIS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (EUR 100).

10.3 WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SERVICE. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.4 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Mantis Strategies B.V. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your investment or trading decisions, regardless of whether they were influenced by the Service
  • Any content you submit or transmit through the Service

12. Account Suspension and Termination

12.1 By Us

We may suspend or terminate your access to the Service at any time, with or without notice, for reasons including but not limited to:

  • Violation of these Terms or our Acceptable Use policy
  • Suspected fraudulent, abusive, or illegal activity
  • Extended period of inactivity (12+ months)
  • Non-payment of subscription fees

12.2 By You

You may terminate your account at any time by:

12.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • Your personal data will be deleted in accordance with our Privacy Policy (within 30 days)
  • Any active subscription will be canceled (no prorated refund for the current period)
  • We may retain anonymized, aggregated data that does not identify you

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.

13.3 Informal Resolution

Before initiating formal proceedings, you agree to first contact us at legal@mantisstrat.com to attempt to resolve the dispute informally. We will endeavor to respond within 14 business days.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and Financial Disclaimers, constitute the entire agreement between you and Mantis Strategies B.V. regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, internet outages, or government actions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms in the app
  • Updating the "Last updated" date at the top of this document
  • Sending an email notification for significant changes (at least 30 days in advance)

Continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
